By accessing, browsing, or using SaltingIO ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and SaltingIO LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

IMPORTANT: These Terms contain important limitations on your rights and remedies, including binding arbitration and class action waivers. Please read these Terms carefully before using the Service.

SaltingIO provides a proxy service that routes API requests through our global network of over 100 million IP addresses. Our service acts as an intermediary between users and third-party API providers, offering enhanced security, rate limiting, and global distribution capabilities.

Important: SaltingIO is a proxy service only. We do not own, control, or guarantee the availability, functionality, or content of third-party APIs. Users are solely responsible for their compliance with all third-party API terms and conditions.

3.1 Compliance Requirements:

• Comply with all applicable local, national, and international laws and regulations
• Adhere to the terms of service of all third-party APIs you access through our service
• Respect intellectual property rights of third parties
• Maintain the confidentiality and security of your account credentials
• Provide accurate and up-to-date information when required

3.2 Prohibited Activities:

• Illegal activities or violation of any applicable laws, including but not limited to federal, state, local, and international laws
• Unauthorized access to systems, networks, or data
• Malicious attacks, hacking, security breaches, or any attempt to compromise system security
• Spam, phishing, fraudulent activities, or any form of deceptive practices
• Violation of third-party API terms and conditions
• Excessive usage that may harm our infrastructure, other users, or third-party services
• Reverse engineering, decompiling, disassembling, or attempting to extract source code, algorithms, or proprietary information
• Reselling, redistributing, sublicensing, or commercializing our service without express written authorization
• Using the service to violate intellectual property rights of any party
• Interfering with or disrupting the service, servers, or networks connected to the service
• Transmitting any viruses, malware, or harmful code
• Collecting or harvesting information about other users without their consent

3.3 User Indemnification:

You agree to indemnify, defend, and hold harmless SaltingIO LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your violation of any applicable laws or regulations; or (e) any content or data you submit, post, or transmit through the Service.

4.1 No Service Guarantees:

While we strive to provide reliable service, SaltingIO makes no warranties or guarantees regarding:

• Service availability, uptime, or uninterrupted access
• Performance, speed, or response times
• Compatibility with all third-party APIs or services
• Data accuracy, completeness, or reliability
• Security against all possible threats or attacks

4.2 Service Modifications:

We reserve the right to modify, suspend, or discontinue any part of our service at any time without prior notice. This includes but is not limited to:

• Changes to service features or functionality
• Modifications to rate limits or usage quotas
• Updates to security measures or protocols
• Temporary or permanent service interruptions
• Changes to pricing or billing structures

4.3 Third-Party Services:

Our Service may integrate with or rely upon third-party services, including but not limited to payment processors (such as Stripe), cloud hosting providers, and API providers. We are not responsible for the availability, accuracy, or reliability of any third-party services. Your use of third-party services is subject to their respective terms and conditions, and we disclaim all liability related to third-party services.

4.4 Payment Processing:

Payment processing services are provided by third-party payment processors (including Stripe). We are not responsible for payment processing errors, failures, or disputes. All payment-related issues must be resolved directly with the payment processor. We reserve the right to change payment processors at any time without notice.

5.1 Disclaimer of Warranties:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

5.2 Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SALTINGIO LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, income, or business opportunities
• Loss of data, data corruption, or unauthorized access to data
• Service interruptions, downtime, or unavailability
• Third-party API failures, limitations, or terminations
• Security breaches, cyber attacks, or data breaches
• Regulatory compliance issues or violations
• Loss of goodwill or reputation
• Cost of procurement of substitute goods or services
• Errors, omissions, or inaccuracies in content
• Personal injury or property damage

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.3 Maximum Liability:

IN NO EVENT SHALL SALTINGIO LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO SALTINGIO LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

5.4 Exclusions:

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. However, to the fullest extent permitted by law, our liability is limited as set forth above.

5.5 Time Limitation:

ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES, OR SUCH CLAIM IS FOREVER BARRED.

6.1 Data Collection and Use:

By using our service, you consent to the collection, processing, and storage of your data as described in our Privacy Policy. This includes but is not limited to:

• Account information and credentials
• API usage logs and analytics
• IP addresses and geolocation data
• Service performance metrics
• Communication records and support interactions

6.2 Data Security:

While we implement industry-standard security measures, we cannot guarantee absolute security. You acknowledge that:

• Data transmission over the internet is inherently risky
• No security system is completely impenetrable
• You are responsible for securing your own data and credentials
• We may be required to disclose data under legal obligations

7.1 Termination by User:

You may terminate your use of the service at any time by discontinuing use and deleting your account. Upon termination, your access to the service will cease immediately.

7.2 Termination by SaltingIO:

We reserve the right to suspend, restrict, or terminate your access to the service immediately, without prior notice, for any reason including but not limited to:

• Violation of these Terms of Use
• Illegal or unauthorized use of the service
• Non-payment of fees (for paid services)
• Abuse of our infrastructure or other users
• Security concerns or suspicious activity
• Legal or regulatory requirements

7.3 Effect of Termination:

Upon termination, all rights and licenses granted to you will cease immediately. We may delete your account data and are not obligated to provide any refunds or compensation.

8.1 Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

8.2 Exclusive Jurisdiction:

For any disputes not subject to binding arbitration (as set forth below), you agree to submit to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, United States of America. You waive any objection to venue and any claim that such courts are an inconvenient forum.

8.3 Binding Arbitration:

MANDATORY ARBITRATION: Except as otherwise provided herein, any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration shall be conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, if applicable, its Supplementary Procedures for Consumer-Related Disputes. The arbitration will be conducted in Sheridan County, Wyoming, United States of America, unless both parties agree otherwise in writing.

The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator shall have the authority to award any relief that a court of competent jurisdiction could award, including injunctive relief.

You and SaltingIO LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

8.4 Class Action and Jury Trial Waiver:

YOU AND SALTINGIO LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. FURTHERMORE, UNLESS BOTH YOU AND SALTINGIO LLC AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

YOU AND SALTINGIO LLC HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

8.5 Exceptions to Arbitration:

The following claims are not subject to binding arbitration and may be brought in court: (a) claims for injunctive or equitable relief; (b) claims related to intellectual property rights; (c) claims that may be brought in small claims court; and (d) claims that cannot be arbitrated under applicable law.

8.6 30-Day Right to Opt Out:

You have the right to opt out of the binding arbitration provision by sending written notice of your decision to opt out to info@salting.io within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of binding arbitration. If you opt out, disputes will be resolved in state or federal courts in Sheridan County, Wyoming, as set forth in Section 8.2.

9.1 Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SaltingIO regarding the use of the Service.

9.2 Severability:

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

9.3 Waiver:

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

9.4 Assignment:

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

9.5 Force Majeure:

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemics, epidemics, labor disputes, internet or telecommunications failures, third-party service provider failures, or any other cause beyond our reasonable control.

9.6 No Third-Party Beneficiaries:

These Terms are for the sole benefit of the parties hereto and their respective successors and permitted assigns. Nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

9.7 Export Control:

You agree to comply with all applicable export control laws and regulations of the United States and other applicable jurisdictions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, or that has been designated by the United States as a "terrorist supporting" country.

9.8 Survival:

The following provisions shall survive termination of these Terms: Sections 3.3 (Indemnification), 5 (Limitation of Liability), 6 (Data Handling and Privacy), 8 (Governing Law and Dispute Resolution), and 9 (General Provisions).
